Greenland Mines Sets Q4 2026 Biotech Spin-Off, Advances Sarfartoq Rare Earths Project

Greenland Mines Ltd (NASDAQ: GRML) has announced a series of corporate milestones as it sharpens its focus on rare earths and critical minerals, including plans to spin off its biotechnology division in the fourth quarter of 2026. The company also confirmed that Nasdaq has formally approved its application relating to the March 2026 transaction, resolving prior deficiencies and bringing the company into full compliance with listing requirements. These developments underscore Greenland Mines' strategic transformation into a dedicated mining entity focused on the exploration and development of key mineral assets.

In a move to solidify its position in the critical minerals sector, Greenland Mines completed its acquisition of the Sarfartoq project on September 1, following approval by the Government of Greenland. The project, located in southwest Greenland, is a significant neodymium-praseodymium (NdPr) rare earths venture. An independent S-K 1300 Initial Assessment for the ST1 deposit at Sarfartoq revealed a high-case pre-tax net present value of approximately $2.05 billion and a pre-tax internal rate of return of 118.6%. The assessment also indicated that planned annual NdPr oxide production from ST1 would equal approximately 34% of current NdPr oxide refining outside China, based on 2025 consumption levels, during each of the project's nine scheduled operating years.

The company is also reshaping its board of directors, with Riad El-Dada and Dr. Shalom Hirschman stepping down, and capital markets veteran Jason Hawkins joining as Greenland Mines advances its Sarfartoq and Skaergaard projects. The Skaergaard project, located in southeast Greenland, is a palladium-gold-platinum asset that complements the company's rare earths portfolio. These leadership changes are expected to bring additional expertise in capital markets and project development as the company executes its growth strategy.

Greenland Mines' strategy is centered on building a multi-asset platform with exposure to rare earth magnet materials, precious metals, and selected midstream processing opportunities. The company is also advancing its broader North Atlantic Critical Metals Corridor vision, which aims to link Greenland resources with allied downstream jurisdictions and industrial infrastructure. This vision positions the company to play a pivotal role in the global supply chain for critical minerals, particularly in light of increasing demand for rare earth elements used in electric vehicles, wind turbines, and other clean energy technologies.

The spin-off of the biotech division, which includes Klotho's KLTO-202 primary indication for ALS, will allow the company to unlock value in its non-mining assets while focusing management attention on its core mining operations. The move is expected to streamline operations and sharpen the company's investment narrative as a pure-play critical minerals developer.

Investors and industry observers will be watching closely as Greenland Mines progresses its projects. The Sarfartoq project's robust economic metrics and significant production potential could have far-reaching implications for the rare earths market, potentially reducing reliance on Chinese supply. With the company now in full compliance with Nasdaq listing requirements and the acquisition of Sarfartoq complete, Greenland Mines is well-positioned to advance its projects and contribute to the global transition toward sustainable energy.
