Energy Fuels Inc. (NYSE American: UUUU) (TSX: EFR), a leading U.S. producer of uranium, rare earth elements (REE), and other critical minerals, has taken a major step forward in its strategic expansion with the overwhelming approval of its planned acquisition of Australian Strategic Materials Limited (ASX: ASM) by ASM securityholders. At scheme meetings held on August 12 in Perth, Australia, the Share Scheme received approval from 98.23% of votes cast and 83.62% of ASM shareholders present and voting, while the Option Scheme received 99.97% of votes cast and support from 87.78% of participating optionholders. This strong mandate paves the way for the next phase of the transaction, with ASM scheduled to seek Federal Court of Australia approval on August 18, and the schemes expected to become effective on August 19, with implementation targeted for August 28.

The acquisition is a cornerstone of Energy Fuels' strategy to build an integrated Western mine-to-magnet rare earth supply chain. By adding ASM's Korean Metals Plant, its planned American Metals Plant, and the Dubbo Project in New South Wales to its existing assets, Energy Fuels aims to strengthen its position in the critical minerals sector. The company already produces rare earth oxides at its White Mesa Mill in Utah and is developing the Donald Project in Victoria in partnership with Astron Limited. The addition of ASM's facilities is expected to enhance Energy Fuels' capabilities from mining and processing to the production of separated rare earth oxides, a critical step in reducing Western dependence on Chinese rare earth supply chains.

In a separate but complementary move, Energy Fuels has agreed to acquire Vacuumschmelze (VAC), a permanent magnet manufacturer. If completed, this acquisition would extend the company's platform into magnet production, completing the mine-to-magnet value chain. The VAC acquisition is expected to close in early 2027, subject to regulatory approvals and other conditions, and is not a condition of the ASM transaction.

Energy Fuels is already a dominant player in the U.S. uranium market, being the top producer of natural uranium concentrate and supplying nuclear utilities. The company owns the only fully licensed conventional uranium mill operating in the U.S., the White Mesa Mill in Utah, where it also produces REE products and evaluates medical isotope recovery for emerging cancer therapies. Additionally, Energy Fuels is developing three heavy mineral sands/rare earths projects: the Vara Mada Project in Madagascar, the Bahia Project in Brazil, and the Donald Project in Australia.

The successful approval of the ASM acquisition is a significant milestone for Energy Fuels and the broader critical minerals industry.
