Greenland Mines Announces Public Offering to Fund Sarfartoq Rare Earth Acquisition

Greenland Mines (NASDAQ: GRML), a Western-aligned critical minerals developer, has announced its intention to conduct a public offering of shares of common stock or common stock equivalents. The company plans to use the net proceeds, together with existing cash and cash equivalents, to fund the acquisition of the Sarfartoq Nd-Pr Rare Earth Element Project, as well as for working capital and other general corporate purposes. The offering is subject to market and other conditions, and there is no assurance regarding its completion, size, or terms. A.G.P./Alliance Global Partners is acting as sole placement agent.

The Sarfartoq project, located in southwest Greenland, is a significant neodymium-praseodymium (Nd-Pr) rare earths project. Nd-Pr are critical components in permanent magnets used in electric vehicles, wind turbines, and other high-tech applications. With global demand for rare earth elements surging and supply chains increasingly concentrated in certain regions, the acquisition aligns with Western efforts to secure reliable and diversified sources of these critical materials.

Greenland Mines operates with two divisions: Mining and Biotech. The Mining division is focused on the exploration and development of the Skaergaard Project in southeast Greenland, and subject to closing of the previously announced transaction, the Sarfartoq project. The Biotech division includes Klotho’s KLTO-202, a primary indication for ALS. The company’s strategy is centered on building a multi-asset platform with exposure to rare earth magnet materials, precious metals, and selected midstream processing opportunities, while advancing its broader North Atlantic Critical Metals Corridor vision. This vision links Greenland resources with allied downstream jurisdictions and industrial infrastructure.

The announcement comes at a time when governments and industries are prioritizing supply chain security for critical minerals. The U.S. and European Union have been actively seeking to reduce dependence on dominant producers and to foster partnerships with allied nations. Greenland’s strategic location and mineral wealth make it an attractive partner in this effort. By acquiring the Sarfartoq project, Greenland Mines aims to strengthen its position in the rare earth market and contribute to the development of a Western-aligned supply chain.

Investors and stakeholders should note that this offering is subject to market conditions and other factors, and there is no guarantee that it will be completed. The company has not disclosed the size or pricing of the offering at this time. The proceeds will be used not only for the acquisition but also to support ongoing operations and general corporate purposes, ensuring the company can advance its projects and maintain financial flexibility.
