G Mining Ventures Completes Acquisition of G2 Goldfields, Creating Tier-One Gold Complex in Guyana

G Mining Ventures Corp. (TSX: GMIN) (OTCQX: GMINF) has completed its acquisition of G2 Goldfields (TSX: GTWO) (OTCQX: GUYGF) through a court-approved plan of arrangement, creating what the company describes as a large-scale, fully permitted and fully financed tier-one gold mining complex in Guyana. Under the transaction, each G2 share was exchanged for 0.212 GMIN common shares and 0.50 common shares of G3 Goldfields, which was spun out as part of the arrangement.

The combination of the adjacent Oko West and Oko-Ghanie deposits is expected to generate operational and capital synergies through shared infrastructure, optimized mine planning, greater processing capacity and enhanced operational flexibility. This consolidation positions GMIN to leverage shared resources and streamline operations across the contiguous properties, potentially reducing costs and improving project economics.

GMIN clarified that previously disclosed mineral resource estimates for the Oko-Ghanie Project should be considered historical estimates under NI 43-101 and not current mineral resources from GMIN’s perspective. The company will undertake additional geological modeling, data integration and drilling before issuing updated combined mineral resource estimates and a supporting technical report. Further technical studies are expected to culminate in a comprehensive report in 2027.

For the mining industry, this acquisition underscores the growing trend of consolidation in the gold sector, particularly in mining-friendly jurisdictions like Guyana. By merging adjacent deposits, companies can unlock value that might not be achievable individually. The move also highlights the strategic importance of Guyana, which has emerged as a significant gold-producing region with a favorable regulatory environment.

For investors, the transaction offers exposure to a larger, more diversified gold project with potential for enhanced returns through operational efficiencies. The spin-out of G3 Goldfields provides additional optionality, allowing shareholders to participate in the exploration upside of the former G2 assets outside the Oko-Ghanie deposit. However, the company’s caution regarding historical resource estimates indicates that updated figures may differ, and stakeholders should await the forthcoming technical reports.

G Mining Ventures Corp. is a mining company engaged in the development, operation and exploration of precious metal projects, with a focus on value uplift from successful mine development. The company is currently anchored in Brazil and Guyana. For more details, refer to the full press release at https://ibn.fm/ElDvh.
